Investigating Related Party Transactions, Contesting Value, and Assessing Fiduciary Breach in Financial Distress

  • Explore key fraudulent transfer law, finance, and valuation issues in the context of related party transactions from a legal and financial perspective (and how the disciplines can work together)
  • Confront valuation in dispute in both an assessment of reasonably equivalent value and insolvency (including inadequate capital and ability to pay)
  • Identify how fiduciary breach can implicate boards, officers, and advisors when the company is in financial distress (including the building of appropriate damages models for fiduciary breach)

PROF. JACK F. WILLIAMS, PHD, JD, CIRA, CDBV, CTP
PROFESSOR, GEORGIA STATE UNIVERSITY
COLLEGE OF LAW/MIDDLE EAST STUDIES CENTER

Prof. Williams is a professor at Georgia State University College of Law and the Middle East Studies Center. His teaching and current research focuses on many cross-disciplinary areas, including bankruptcy and business reorganization; mergers and acquisitions; remedies; corporate finance; governance and fiduciary duties; Islamic law, banking, finance, business governance, and ethics; Native American tribal law and tribal governance; among other areas. Additionally, Prof. Williams is a Principal and Practice Leader in the Forensic Accounting, Litigation, and Valuation Services Group and in the Restructuring and Bankruptcy Group with Baker Tilly Virchow and Krause, LLP.

Prof. Williams has served as an instructor to attorneys in the Office of Chief Counsel, Internal Revenue Service, as part of the New York University School of Law/IRS Continuing Professional Education Program; to attorneys in the United States Department of Justice; to attorneys and other professionals in the Office of the United States Trustee; to attorneys and enforcement personnel at the Securities and Exchange Commission and Environmental Protection Agency; and to law enforcement at the Federal Law Enforcement Training Center.

He is presently the Association of Insolvency & Restructuring Advisors’ Resident Scholar and has served two terms as the American Bankruptcy Institute (ABI) Resident Scholar. In these roles, he has researched a range of forensic investigation issues, fiduciary duties and governance issues, solvency and distressed business valuations, profit and profitability assessments, and international asset concealment schemes.

Event Cancellation Policy: 

Requests for refunds must be made in writing no later than 48 hours prior to the date of the event (e-mail is acceptable). No cancellations will be accepted within 48 hours of the event. Substitutions are allowed and must be submitted in writing (e-mail is acceptable). The substitute must be from the same firm as the original registrant and, if the substitute is not a TMA Member, the difference in registration fee will be required. Please note that if you register for the event after the cancellation deadline has passed, you will not be eligible for a refund should you need to cancel your registration. The cancellation policy applies to all registrants regardless of when the registration is submitted. Registrants who fail to attend the event and do not provide written notice in accordance with these policies and deadlines are responsible for full payment.
